Metso Corporation's Annual General Meeting (AGM) was held today in Helsinki, Finland.

The AGM approved the Financial Statements for 2016 and decided that a dividend of EUR 1.05 per share will be paid for the financial year ended on December 31, 2016. The dividend will be paid on April 4, 2017 to shareholders registered in the company's shareholder register maintained by Euroclear Finland Ltd. on the record date of March 27, 2017.  AGM discharged the members of the Board of Directors and the President and the CEO from liability for the 2016 financial year.

The AGM confirmed the number of Board members as seven and re-elected Mikael Lilius as Chairman of the Board and Christer Gardell as Vice Chairman. Peter Carlsson, Arja Talma, Ozey K. Horton Jr., Lars Josefsson and Nina Kopola were re-elected as members for a new term. The term of office of Board members will last until the end of the next AGM.

The AGM decided that the Board members shall be paid the same fixed annual remuneration and meeting fees as in the previous term as follows: EUR 110,000 for the Chairman, EUR 62,000 for the Vice Chairman, and EUR 50,000 for members. Additional annual remuneration of EUR 15,000 will be paid to the Chairman of Audit Committee and EUR 5,000 to the Chairman of HR and Remuneration Committee.  In addition, a meeting fee of EUR 700 will be paid to members resident in the Nordic countries, EUR 1,400 to members resident elsewhere in Europe, and EUR 2,800 to members resident outside of Europe for each meeting they attend, including committee meetings. The AGM also decided that, as a condition for receiving their annual remuneration, the members of the Board of Directors will be obliged to use 40% of their fixed annual remuneration for purchasing Metso Corporation shares from the market at a price formed in public trading and that such purchases shall be carried out within two weeks following the publication of the interim review for January - March, 2017.

Authorized Public Accountant Ernst & Young Oy was elected as the company's Auditor until the end of the next Annual General Meeting.  Ernst & Young Oy has designated Mikko Järventausta, APA as responsible auditor The remuneration to the Auditor was decided to be paid against the invoice approved by the Audit Committee.

The AGM approved the proposal of the Board of Directors to authorize the Board to decide on the repurchase of Metso shares.

In addition, the Board of Directors was authorized to decide on donations given to universities.
